1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Linkbase AB ("Linkbase", "we", "us", or "our") governing your access to and use of the Linkbase application and services (the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms are drafted in English. Summaries or translations may be provided for convenience; in the event of a conflict, the English text prevails.

2. Definitions

  • "Customer": An organization or business that has activated an account in Linkbase.
  • "Administrator": The person who assumes billing responsibility for an account, manages members, and accepts these Terms on behalf of the Customer.
  • "Member": A unique individual registered under a Customer account who has access to the Service.
  • "Connected Platform": A third-party platform that the Customer connects to the Service, such as e-commerce platforms, payment providers, advertising platforms, and accounting platforms. The platforms currently supported are listed on the Linkbase website and in the in-app integration catalog, and may change over time.
  • "Customer Data": Data that the Customer submits to the Service or that the Service retrieves from Connected Platforms on the Customer's behalf, including orders, transactions, payouts, customer records, product data, advertising spend, and accounting records.
  • "Output": Accounting entries, vouchers, reports, documents, and other material generated by the Service from Customer Data.
  • "Service": Linkbase's cloud-based subscription service that connects the Customer's Connected Platforms and automates bookkeeping and related workflows, as described in Section 3.

3. Description of Service

The Service provides standardized integrations between Connected Platforms — for example between e-commerce and payment platforms on one side and accounting platforms on the other — and automates related bookkeeping workflows. Depending on the Customer's configuration and subscription, this includes automated creation of accounting entries and vouchers, import of historical transactions, generation of tax-related sales reports (such as OSS and EC sales reports), and generation of supporting documents such as receipts and specifications. Custom or customer-specific integrations are not included in the standard Service.

Important disclaimer

The Service is a software tool designed to assist with and automate accounting workflows. The Service is not a replacement for a professional bookkeeper or accountant. The Service does not provide accounting advice, tax advice, or any professional financial services. You are solely responsible for the accuracy and completeness of your bookkeeping and accounting records.

4. Linkbase Responsibilities

Linkbase commits to:

  • Provide access to the web-based services as described in these Terms and on linkbase.se
  • Take reasonable measures to ensure the Service is available over the Internet, except for system updates, maintenance, or temporary outages
  • Use industry standards to ensure data is stored and transferred securely between systems

In the event of a conflict between these Terms and information on our website, these Terms shall prevail.

5. Customer Responsibilities

The Customer agrees to:

  • Comply with all security requirements agreed upon during registration
  • Ensure all billing and payment information is accurate and kept up to date
  • Use the Service in compliance with all applicable laws and regulations
  • Ensure all Members comply with these Terms
  • Immediately report any unauthorized use or security breaches
  • Verify and approve all accounting entries created by the Service before or promptly after they are recorded in the Customer's accounting platform
  • Configure automations, accounting templates, and account mappings correctly for the Customer's business, and review that configuration when the business changes
  • Promptly notify Linkbase of any error or suspected error in Output as soon as the Customer becomes aware of it

6. No Guarantees on Accounting Accuracy

The service is provided as a software tool only

Linkbase makes no guarantees regarding the accuracy, completeness, or correctness of any accounting entries, vouchers, invoices, reports, or other financial data created or processed by the Service.

The Service's integrations and functionality are based on continuous research, machine learning, and replication of processes typically performed by accounting consultants. However, the Service does not replace a professional accountant or bookkeeper and serves only as a complementary tool.

The Customer is solely responsible for:

  • Final verification and approval of all accounting entries
  • Ensuring the correctness of all bookkeeping data
  • Correct interpretation and application of VAT rules
  • Compliance with applicable tax laws and accounting standards
  • Any errors, omissions, or discrepancies in accounting data

All filings, returns, and submissions to the Swedish Tax Agency (Skatteverket) or any other authority are made by the Customer — or by an accountant or other advisor engaged by the Customer — under the Customer's sole responsibility. Output constitutes preparatory bookkeeping material only. Linkbase does not file anything with any authority on the Customer's behalf, is not a party to any filing, and assumes no responsibility for the contents of what the Customer or its advisors accept, approve, or submit. The Service provides the Customer and its advisors with the information available in the Service to support their own review, but the determination that a filing is correct is theirs alone.

7. Limitation of Liability and Disclaimer of Warranties

7.1 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Linkbase does not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free.

7.2 Limitation of Liability

To the maximum extent permitted by applicable law, Linkbase shall not be liable for:

  1. Any loss of data, information, revenue, profits, or business
  2. Any special, indirect, incidental, consequential, exemplary, or punitive damages
  3. Any damages arising from the use or inability to use the Service
  4. Any damages arising from errors or inaccuracies in accounting data
  5. Any tax surcharges (skattetillägg), late-filing or late-payment penalties (förseningsavgifter), or interest imposed by the Swedish Tax Agency (Skatteverket) or any other tax authority
  6. Any costs of accountants, auditors, or other advisors engaged to review, correct, or remediate accounting records
  7. Any damages arising from third-party products or services integrated with the Service
  8. Any damages arising from interruptions, delays, or errors in data transmission

7.3 Maximum Liability

In no event shall Linkbase's total aggregate liability exceed the amounts paid by you to Linkbase during the twelve (12) months preceding the event giving rise to the claim.

7.4 Sole Remedy

The Customer's sole and exclusive remedy for errors or defects in Output is correction or re-performance of the affected entries by Linkbase within a reasonable time after notification. Only if Linkbase fails to correct or re-perform within a reasonable time may the Customer claim damages, subject to the exclusions and limitations in this Section 7.

7.5 Claims Window

Any claim against Linkbase under or in connection with these Terms must be notified to Linkbase in writing without undue delay and in any event no later than twelve (12) months after the event giving rise to the claim occurred. Claims not notified within this period are waived. A written notification of an error under Section 7.4 satisfies this notice requirement for claims arising from that error.

7.6 Reviewed and Approved Entries

Entries that the Customer has reviewed or approved, and entries recorded automatically under automations, rules, or accounting templates that the Customer has configured, are the Customer's responsibility. Linkbase's liability is excluded to the extent a loss results from the Customer's failure to verify entries in accordance with Section 5, from incorrect configuration by the Customer, or from the Customer's failure to notify Linkbase promptly of an error the Customer knew of or reasonably should have discovered.

7.7 No Liability for Third-Party Services

Linkbase takes no responsibility for third-party products or services that the Service integrates with, including Connected Platforms and payment processors. The Customer's use of such third-party services is subject to the respective terms and conditions of those providers.

7.8 Protection of Licensors and Integration Partners

The exclusions and limitations of liability in these Terms apply equally for the benefit of Linkbase's licensors, suppliers, and integration partners, including the providers of accounting platforms and payment platforms whose services the Customer connects to the Service. The Customer agrees to bring any claim relating to the Service exclusively against Linkbase and, to the maximum extent permitted by applicable law, waives any direct claim against such licensors, suppliers, and integration partners arising out of the Service's acts or omissions. Such parties may rely on and enforce this Section as third-party beneficiaries.

7.9 Mandatory Law

Nothing in these Terms excludes or limits liability for willful misconduct or gross negligence, or any other liability that cannot be excluded or limited under mandatory Swedish law.

8. Confidentiality

Linkbase commits not to disclose to any third party, or otherwise make available, information received from the Customer within the scope of these Terms. This confidentiality obligation does not apply to information that Linkbase can demonstrate was known prior to this agreement, is publicly available, or must be disclosed pursuant to law, regulation, or order from a public authority. This confidentiality obligation survives termination of these Terms.

9. Service Operations and Staff Access

Authorized Linkbase personnel may access Customer Data to the extent necessary to operate, secure, maintain, support, and debug the Service, including to investigate and resolve issues the Customer reports. Such access takes place exclusively through Linkbase's internal, audited administrative gateway, including AI-assisted support and operations tooling built on that gateway. Access is role-based and limited to the least privilege necessary, and every access is recorded in an audit trail.

Credentials and access tokens for Connected Platforms never leave Linkbase's systems: all calls to Connected Platforms are executed server-side through Linkbase's infrastructure, and internal tools operate against that gateway without access to raw credentials or tokens.

10. De-identified Data and the Knowledge Foundation

Linkbase may create de-identified, anonymized, or aggregated data from Customer Data and from usage of the Service. Such de-identified data does not identify the Customer or any natural person, is not Customer Data, and is owned by Linkbase. Linkbase may use de-identified data during and after the term of these Terms to develop, test, benchmark, secure, operate, and improve the Service and other Linkbase services, including training machine-learning models. Use of de-identified data for model improvement is subject to the opt-out in Section 11.

Linkbase anonymizes or pseudonymizes personal data before any use of Customer Data in non-production environments such as development and testing.

Linkbase maintains a knowledge foundation: a body of de-identified, aggregated data derived from Customer Data across customers. Linkbase uses the knowledge foundation to produce industry statistics and benchmarks, to improve automatic classification and accounting suggestions, and to train the machine-learning models described in Section 11. Data in the knowledge foundation is de-identified before use and is never presented in a form that identifies the Customer or any natural person, and aggregate statistics are computed over groups large enough that no individual customer can be singled out.

The Customer's contribution to the knowledge foundation is recorded when the Customer accepts these Terms. Features built on the knowledge foundation, such as benchmarking against comparable companies, may require that the Customer contributes to it. The Customer may withdraw its contribution at any time by contacting hello@linkbase.se; withdrawal stops future contribution, does not affect data already de-identified and aggregated, and does not affect the Customer's use of the Service, except that features requiring contribution may become unavailable.

11. AI Features

Parts of the Service use artificial intelligence, including machine-learning models, to classify transactions, propose accounting entries, and automate workflows. AI-generated output is either a suggestion that requires the Customer's review and approval, or is recorded automatically only under automations, rules, or templates that the Customer has configured. Section 6 and Section 7 apply fully to AI-generated Output.

Linkbase may use de-identified data as described in Section 10 to improve AI features and the models underlying them. The Customer may opt out of the use of data derived from its account for model improvement by contacting hello@linkbase.se; opting out does not affect the Customer's use of the Service.

12. Fees and Payment

The Service is offered as a subscription. Fees consist of a recurring subscription fee, recurring add-on fees for certain integrations, and, where applicable, usage-based fees tied to transaction volume and one-time fees for specific services such as import of historical transactions. Current prices are stated on linkbase.se and in the app. All fees are exclusive of VAT unless stated otherwise.

Subscription and add-on fees are billed in advance for each billing period; usage-based fees are billed in arrears based on actual volume during the period. Billing is handled through our payment provider Stripe, using the payment method registered on the account. The Customer is responsible for keeping a valid payment method on file. If a payment fails, Linkbase may retry the charge and, after notice, suspend access to the Service until outstanding fees are paid. Late payments are subject to statutory interest and statutory reminder fees where applicable.

Where offered, a free trial gives access to the Service for the stated trial period. At the end of the trial the subscription begins, and billing starts, unless the Customer cancels before the trial ends.

Linkbase may increase prices immediately if the increase is due to circumstances beyond our control, such as currency fluctuations, taxes, or other circumstances of economic significance. For other price increases, Linkbase will provide at least 30 days' notice. The new price takes effect at the start of the next billing period.

13. Term and Termination

The subscription runs per billing period and renews automatically at the end of each period until cancelled. The Customer may cancel the subscription at any time in the app under subscription settings; cancellation takes effect at the end of the current billing period. Amounts already paid are not refunded for partial periods, except where required by mandatory law.

Linkbase may immediately terminate or suspend access to the Service if the Customer:

  • Uses the Service in a manner that constitutes a crime
  • Uses the Service in a manner that causes loss or risk of loss to Linkbase or third parties
  • Violates Linkbase's security or administrative policies
  • Fails to pay due fees within 30 days after the due date
  • Attempts unauthorized access to Linkbase's systems
  • Is declared bankrupt or insolvent

14. Modifications to Service and Terms

Linkbase is responsible for the continued development of the Service and solely determines which improvements, changes, and technical adaptations are made. Linkbase reserves the right to modify these Terms. The Customer will be notified of changes via email or through information made available on the Linkbase website. The Customer is deemed to have received such notice within one week. If the Customer does not accept the changes, the Customer may terminate the agreement within 30 days of notification. Continued use after this period constitutes acceptance of the new terms.

15. Intellectual Property

The Customer acknowledges that Linkbase and all intellectual property rights associated with the Service belong to Linkbase. Linkbase has the right to take any measures it deems necessary to protect its intellectual property rights.

16. Assignment

Linkbase may, in whole or in part, assign its rights and obligations under these Terms to a company within the same corporate group without the Customer's consent. The Customer may not assign rights or obligations under these Terms without Linkbase's written consent.

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Sweden. Any disputes arising from or in connection with these Terms shall be finally settled by the courts of Sweden, with Stockholm District Court as the court of first instance.

18. Marketplace Distribution

The Service may be discovered or acquired through third-party marketplaces, such as the Shopify App Store or the Bokio Marketplace. When the Customer acquires the Service through such a marketplace, the marketplace's own terms and policies apply in addition to these Terms with respect to the Customer's use of that marketplace. Unless expressly stated otherwise, the contract for the Service is between the Customer and Linkbase under these Terms, and fees for the Service are billed by Linkbase as described in Section 12 — not through the marketplace.
